The name of a private limited company may need to be changed for a number of reasons including corporate target change, management change, rebranding, etc. With the approval of shareholders and the Ministry of Corporate Affairs (MCA), the name of a private limited company can be changed at any time.

The name adopted during incorporation by a private limited company may be changed later. In order to change the name of a private limited company, shareholders consent is required by a special resolution and MCA approval. A private limited company’s name change does not affect its legal entity or its existence as a corporate entity. Changing a company’s name will not create a new business or entity.

Therefore, the change of company name shall NOT:
Affect any company’s rights or responsibilities
Make any legal action by or against the company defective
No legal proceedings pending in the old name by or against the company; they may continue in the old name

Procedure for Changing the name of a private limited company

Board Resolution
A board meeting shall be convened to pass a resolution to change the company’s name and authorize a director or company secretary to submit a request to the MCA to determine the availability of the proposed name. A resolution to convene an extraordinary general meeting may also be passed at the same board meeting to change the name of the company and to alter the memorandum of association and association articles.

Check Company Name Availability
Once a resolution has been passed to determine the availability of the proposed name of the company, the authorized person may apply to the MCA for a name. The procedure for applying for the name is similar to that followed during the incorporation of a private limited company. The name must therefore be in accordance with the Naming Guidelines of the Companies Act 2013

Pass Special Resolution for Company Name Change

Once a name has been approved by the MCA, the company must hold an extraordinary general meeting and pass a special resolution to change the name of the company and consequent changes to the Association Memorandum and Articles of Association.

Application for approval of Company Name Change

Once the company name change special resolution is approved, the company name change special resolution and the company name change authorization request must be sent to the company registrar. A request to change the company name must be submitted in Form 1B together with the required fee.

Issuance of New Certificate of Incorporation

If the company registrar is pleased with the company name change request, a new incorporation certificate would be issued by the registrar. It is important to note that the change of company name is said to be complete and successful for the Registrar of Companies to issue a new incorporation certificate.

Make Changes to MOA and AOA

Upon the issuance of the new incorporation certificate, steps must be taken to incorporate the new company name in all versions of the Association Memorandum, Articles of Association and the Registrar’s Certificate of Incorporation.
